Ok, enough already about the bylaws.  Here's the indemnification provision:

BYLAWS OF SEATTLE COMMUNITY NETWORK ASSOCIATION  

ARTICLE 9.

"The Corporation shall indemnify its officers, directors, employees, and 
agents to the greatest extent permitted by law."

The rest of the provision has to do with the purchase of insurance.  As is 
typical, it allows for liability insurance coverage "whether or not the 
Corporation would have the power to indemnify such person against such 
liability under the provisions of this Article."  But the courts will generally 
find it against public policy to permit insurance indemnification for illegal 
acts.
